LEASE AGREEMENT - MANUFACTURING SPACE

This Lease Agreement is made and entered into the day of

, 2008, by and between Mountain Empire Regional Business

Incubator, hereinafter referred to as "Lessor," and (Business Name), hereinafter

referred to as "Lessee."

WITNESSETH:

Section I - Description of Premises

Lessor operates a small business incubator facility located in the

regional industrial park near the Town of Duffield, Scott County,

Virginia. Lessor leases to Lessee, and Lessee hereby rents from

Lessor, that portion of Lessor's facility designated on the attached

floor plan.

Section II - Use of Premises

Lessee's premises are to be used for the operation of its stated

business. Human habitation and/or lodging of any kind on the

premises are prohibited, as is storage of any non-related equipment or

material. Lessee shall not allow any waste or nuisance on the

premises, or use or allow the premises to be used for any unlawful

purpose.

Likewise, to the best of Lessor's knowledge, neither Lessor

not any other party has stored, handled, installed or disposed of any

hazardous substances in, on or about the property or within the vicinity

of the property.

Section III - Terms and Rent

The term of this lease shall be for a period of one year, commencing on

the date hereof and terminating on the first anniversary hereof, at the

annual rental of Dollars ($ ), payable as the sum of
